Maintenance Agreement


This Agreement is made on 28th August 2003

between

ABC Interior Design Limited

and

BBB Limited,

Ave. Venceslau de Morais, Edf. Industrial Keck Seng,

Telephone: 123 456

(hereinafter called the "Customer")



ABC Interior Design Limited agrees to provide on site remedial maintenance service to the Customer for the items listed in the following hereto and the Customer agrees conditions set forth in this Agreement, which is not transferable.

General Provisions:

Service will be rendered during normal business hours ( from 9:30a.m. to 6:00p.m. Mondays to Fridays. Excluding weekends and public holidays).


Service shall be performed by ABC providing the Customer complies with the following conditions:


1. That the installation is to be carried out on an appropriate site with environment conditions, electrical supply, etc. in accordance with ABC technical drawings.

2. ABC shall not be held responsible in regard to the obligations arising from this Agreement or otherwise upon the occurrence of any one of the following events:

-that the Customer fails, refuses and / or neglects to perform or observe the particular provisions set forth in section (1) hereof.

-that it becomes impossible for ABC carry out the nical service hereunder temporarily or indefinitely, due to Acts of God or other circumstances beyond ABC reasonable control such as: flood, fire , accident, labour unrest,etc.

-that any breakdown of the equipment covered by this Agreement is caused by neglect serious fault or willful misconduct of the Customer of his staff, or the Customer¡¦s endeavors to make repairs, alterations or removel of the equipment.

-damage caused by any equipment other than ABC¡¦s subcontractor manufacture connected to any unit being serviced under this Agreement. In no event shall ABC assume any other obligation different from these expressly set forth in the present Agreement, nor shall ABC be liable for direct, indirect, consequential or incidental damages of any kind or nature whatsoever with respect to this Agreement or that may arise through the use of the equipment. ABC shall not be held responsible for any improper use by any of its employees.

-Accessories such as parts which are expendable items are excluded form this Agreement.

3. Should the Customer fail to fulfill any of its obligations hereunder, ABC shall have the right at any time to terminate this Agreement.


Maintenance Period : One year's guarantee from the date of completion day.

What's a "nical?" Sounds like the usual legalese that could have been expressed in plain English. I fell asleep reading it, so it must be good! *G*
